1. Agreement to Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you ("User" or "you") and AppMaster Inc., dba Koder.ai ("Company," "we," "our," or "us"), which operates the Koder.ai websites, applications, APIs, and related services (collectively, the "Service").
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
If you are using the Service on behalf of a company or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms, and "you" will refer to that entity. You also acknowledge that our Acceptable Use Policy, our Privacy Policy, and any other policies or ordering documents that reference these Terms (collectively, the "Agreement") are incorporated by reference and form part of your agreement with us.
2. Description of Service
Koder.ai provides an AI-powered development platform that enables users to:
- Generate code using artificial intelligence and natural language prompts
- Create, edit, and manage web applications and software projects
- Deploy applications to various hosting environments
- Collaborate with team members on development projects
- Access development tools, templates, and resources
- Export code to external repositories and platforms
Our Service is provided on a subscription basis with various pricing tiers and feature sets.
3. License to Use the Service
Subject to these Terms and timely payment of applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business or personal purposes, in accordance with your subscription plan. Any use of the Service in violation of these Terms is unauthorized and will automatically terminate this license.
4. User Accounts and Eligibility
Account Creation
To use our Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Eligibility
- You must be at least 13 years old to use our Service
- If you are under 18, you must have parental or guardian consent
- You must have the legal capacity to enter into binding agreements
- Your use must comply with all applicable laws and regulations
If you are between 13 and the age of legal majority where you live, you represent that your parent or legal guardian has reviewed and accepted these Terms on your behalf and agrees to be responsible for your use of the Service. We may refuse, suspend, or revoke access to the Service to any person or entity at our sole discretion where permitted by applicable law.
Account Responsibilities
You agree to notify us immediately of any unauthorized use of your account and to ensure that you log out from your account at the end of each session.
Account Ownership and Disputes
You are responsible for all activity that occurs under your account. In the event of a dispute about account ownership or control, we may, in our reasonable discretion, determine the rightful owner based on the information available to us, which may include:
- The primary email address associated with the account
- The individual or entity whose billing information was used to pay for the Service
- Any other information or documentation we deem relevant (such as government ID)
If we cannot reasonably determine the rightful owner, we reserve the right (without liability to you) to suspend the account and/or restrict access to associated projects or content until the disputing parties resolve the matter. Our determination of ownership will be final and binding for purposes of the Service.

Permitted Uses
You may use our Service for lawful purposes, including:
- Creating software applications and websites
- Learning and educational purposes

Prohibited Uses
You agree not to use our Service to:
- Violate any applicable laws, regulations, or third-party rights
- Create malicious software, viruses, or harmful code
- Generate content that is illegal, harmful, or offensive
- Infringe on intellectual property rights
- Attempt to reverse engineer or exploit our AI models
- Overload or attempt to disable our systems
- Use the Service for competitive intelligence or benchmarking
- Share account credentials or resell access to the Service
- Upload or transmit content that is defamatory, obscene, or otherwise unlawful
- Interfere with or disrupt the integrity or performance of the Service
6. AI-Generated Content and Services
AI-Generated Code
Our Service uses artificial intelligence to generate code based on your prompts and inputs. While we strive for accuracy and quality, AI-generated content may contain errors, bugs, or security vulnerabilities. You are responsible for reviewing, testing, and validating all AI-generated code before use in production environments.
No Warranty on AI Output
We provide AI-generated content "as is" without warranties of any kind. We do not guarantee that AI-generated code will be error-free, secure, or suitable for your specific purposes.
Training Data
By using our AI services, you acknowledge that your interactions may be used to improve our models, subject to our Privacy Policy. You can opt out of certain data collection through your account settings.
7. No Professional Advice
The Service and any AI-generated outputs are for informational purposes only and do not constitute legal, financial, medical, or other professional advice. You are solely responsible for evaluating and verifying outputs and for obtaining independent professional advice where appropriate.
8. Beta and Experimental Features
From time to time, we may offer beta, experimental, or preview features. Such features may be provided with reduced or different support, may change at any time, and may be discontinued without notice. You use beta features at your own risk.
9. Intellectual Property Rights
Your Content
You retain ownership of the code, content, and materials you create using our Service. By using our Service, you grant us a limited, non-exclusive license to process your content for the purpose of providing the Service.
You are solely responsible for your content, including ensuring that it (a) complies with these Terms and our Acceptable Use Policy, (b) does not infringe or misappropriate any third-party rights, and (c) does not violate any applicable law. We do not undertake to pre-screen or monitor all content, but we may remove, restrict, or disable access to any content that we reasonably believe violates the Agreement or may harm us, our users, or third parties.
Our Platform
The Service, including its software, technology, and AI models, is protected by intellectual property laws. We retain all rights, title, and interest in the Service.
AI-Generated Content
You may use AI-generated content created through our Service for your own purposes, but you acknowledge that similar content may be generated for other users and that such content may not be unique.
10. Usage Data and Analytics
We may collect telemetry, logs, and technical metadata about your use of the Service ("Usage Data") to operate, secure, and improve the Service. We own all right, title, and interest in and to Usage Data. Usage Data does not include your code, prompts, or other content you submit to the Service, except in aggregated or de-identified form.
11. End Users and Data Protection
Many users build applications, workflows, or services on top of Koder.ai that are used by their own customers or end users ("End Users"). As between you and us, you are solely responsible for your relationship with End Users and for how you collect, use, and share End User data in connection with your use of the Service.
You agree to: (a) provide all notices and obtain all consents from End Users required by applicable privacy, data protection, and marketing laws; (b) configure and secure your applications, accounts, and infrastructure appropriately; and (c) respond to End User requests to exercise privacy rights (such as access, deletion, or "right to be forgotten") where required by law. To the extent we process personal data of your End Users on your behalf, we do so as your service provider or processor, and any separate data processing agreement between you and us will also apply.
We do not have a direct relationship with your End Users, and we are not responsible for your obligations to them. You acknowledge that your use of the Service does not by itself ensure compliance with any particular law, rule, or regulation.
12. Feedback and Suggestions
If you provide feedback, ideas, or suggestions regarding the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free, and sublicensable license to use, copy, modify, create derivative works from, and otherwise exploit such feedback for any purpose without obligation or compensation to you.
13. Payment Terms and Billing
Subscription Plans
Our Service is offered through various subscription plans with different features and credit allocations. Current pricing is available on our pricing page and may be updated from time to time.
Payment Processing
- Payments are processed through secure third-party payment processors
- Subscriptions automatically renew unless canceled
- You authorize us to charge your payment method for applicable fees
- All fees are non-refundable except where a refund is required by applicable law
No Refunds
Except where prohibited by law, all purchases, subscriptions, credit bundles, and fees are final and non-refundable, including for partial subscription periods, unused credits, downgrades, or account termination. We may, at our sole discretion, issue account credits; any such credits are goodwill gestures and not an admission of obligation or liability.
Taxes and Chargebacks
- Fees are exclusive of taxes; you are responsible for all applicable taxes, duties, and levies
- You agree not to initiate chargebacks without first contacting support to resolve the issue
- We may suspend or terminate access for unpaid amounts or chargeback events
14. E-Commerce Activities and End User Transactions
The Service may enable you to build and operate applications, sites, or workflows through which you sell products or services, or otherwise collect payments from End Users ("E-Commerce Activities"). We are not a party to, and have no responsibility or liability for, your E-Commerce Activities, including without limitation any products, services, descriptions, pricing, fulfillment, refunds, or customer support.
You are solely responsible for: (a) complying with all applicable laws, rules, and regulations (including consumer protection, privacy, marketing, and tax laws); (b) calculating, collecting, reporting, and remitting any applicable taxes and fees to the appropriate authorities; and (c) any disputes with End Users or payment providers. If you use third-party payment processors or other third-party services in connection with your E-Commerce Activities, your relationship with those providers is governed solely by their terms, not ours.
15. Changes to the Service
We may modify, suspend, or discontinue the Service or any feature at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.
16. Third-Party Services and Links
The Service may depend on or integrate with third-party services, libraries, APIs, models, hosting, or payment processors. We do not control and are not responsible for third-party services. Your use of third-party services is governed by their terms.
Any information collected, stored, or processed by third-party services (including payment processors, cloud providers, or integrations you choose to enable) is subject to those third parties' privacy policies and terms, not our Privacy Policy. We may, where permitted by law, modify, suspend, or discontinue access to any third-party integration at any time without liability to you.
Credits and Usage
Many features consume credits based on AI model usage and computational resources. Credits typically reset monthly and do not roll over between billing periods unless specified in your plan.
Price Changes
We may modify subscription prices with at least 30 days' notice. Continued use of the Service after price changes constitutes acceptance of the new pricing.
17. Termination
Termination by You
You may cancel your subscription at any time through your account settings. Upon cancellation, your access will continue until the end of your current billing period.
Termination by Us
We may suspend or terminate your access to the Service if you violate these Terms, fail to pay fees, or for any other reason with or without notice, as permitted by law.
Effect of Termination
Upon termination, your right to access and use the Service will cease immediately. We may delete your account data after a reasonable retention period, except as required by law.
18. Disclaimers and Limitation of Liability
Service Availability
We strive to provide reliable service but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control.
Disclaimer of Warranties
THE SERVICE, INCLUDING ALL AI-GENERATED OUTPUTS, CONTENT, AND FEATURES, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, WE DO NOT GUARANTEE ANY PARTICULAR RESULTS, UPTIME, AVAILABILITY, ACCURACY, RELIABILITY, SECURITY, NON-INFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE.
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranties regarding accuracy, reliability, or completeness of content
- Warranties that the Service will be error-free or secure
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE LESSER OF (A) ONE HUNDRED U.S. DOLLARS (US$100) OR (B) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.
19. Release and Waiver
To the maximum extent permitted by law, you release Koder.ai and its affiliates, officers, directors, employees, and agents from any and all claims, demands, and damages of every kind and nature, known and unknown, arising out of or in any way connected with your use of the Service. If you are a California resident, you waive California Civil Code T�1542, which states: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."
20. Indemnification
You agree to indemnify, defend, and hold harmless Koder.ai and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
21. Governing Law and Dispute Resolution
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. The Service is controlled and operated from the United States, and we make no representation that it is appropriate or available for use in other locations. If you access the Service from other jurisdictions, you do so on your own initiative and are responsible for compliance with all applicable local laws.
Dispute Resolution
Before initiating formal legal action, you agree to first attempt to resolve any dispute, controversy, or claim arising out of or relating to these Terms or the Service ("Dispute") informally by contacting us in writing and providing a brief description of the Dispute. Both parties will use good faith efforts to resolve the Dispute within thirty (30) days from receipt of the notice.
If the Dispute is not resolved informally, it will be finally resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules and, where applicable, its Consumer Rules. Arbitration will take place in Wilmington, Delaware, unless the parties agree otherwise, and the language of the arbitration will be English. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.
YOU AND AppMaster Inc., dba Koder.ai AGREE THAT ALL DISPUTES WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. YOU WAIVE ANY RIGHT TO A JURY TRIAL. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction for actual or threatened infringement, misappropriation, or violation of intellectual property or proprietary rights, or from bringing an individual claim in small claims court where permitted by law.
22. Export Controls and Sanctions
You may not use the Service if (a) you are located in, or a resident or national of, a country or territory that is subject to comprehensive U.S. sanctions (currently including Cuba, Iran, North Korea, Syria, the Crimea region of Ukraine, and any other regions designated by the U.S. government), (b) you are listed on any U.S. government list of prohibited or restricted parties, or (c) your access to or use of the Service would cause us to violate applicable export control or sanctions laws. You agree not to permit your End Users or customers to access or use the Service in any manner that would cause us to be in violation of such laws.
We may restrict, suspend, or terminate access to the Service without notice if we reasonably believe that your use (or your End Users' use) of the Service may result in a violation of export control or sanctions laws or create unacceptable legal or regulatory risk for us.
23. General Provisions
Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting updated Terms on our website or through email. Your continued use constitutes acceptance of the updated Terms.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Koder.ai regarding the Service.
Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of assets.
No Waiver
Our failure to enforce any provision of these Terms will not be deemed a waiver of our right to do so later. No waiver will be effective unless in writing and signed by us.
Survival
Provisions that by their nature should survive termination shall survive, including but not limited to intellectual property, payments, warranty disclaimers, limitations of liability, indemnification, dispute resolution, and general provisions.
24. Publicity Rights
If you are a business entity, you grant us a non-exclusive, worldwide, transferable, royalty-free license to use your name, logo, and trademarks for the limited purpose of identifying you as a customer on our website, customer lists, and marketing materials. You may revoke this license at any time by providing written notice to us.
